1. Definitions
- Zenstu, we, us: igenius global.
- Service: the Zenstu software at zenstu.com, including the dashboard, the websites it generates, the student portal and everything connected to them.
- You, Teacher: the individual, studio or organisation that holds a Zenstu account.
- Student: a person who enrols with a Teacher, or enquires through a Teacher's Zenstu website.
- Teacher Site: the public website Zenstu generates from your content.
- Your Content: everything you put into Zenstu, including text, images, logos, certificates, class details, prices and student records.
2. Your account
- You must be at least 18 and legally able to enter a contract.
- The details you give us must be accurate, and you must keep them up to date.
- You are responsible for everything done through your account. Do not share your password or OTPs. Tell us immediately at support@zenstu.com if you think someone else has access.
- One account is for one teacher or one studio business. If you add staff logins, you remain responsible for what they do.
- We may refuse or close an account if the details are false, or if the account is used to break these terms or the law.
3. Plans, trial and billing
- Free trial. New accounts get [14] days free. No payment is taken during the trial. We will remind you before it ends.
- Fees. Plan prices are shown at zenstu.com/pricing and are exclusive of GST, which is added at the applicable rate, currently 18%.
- Billing cycle. Subscriptions renew automatically each month or year until cancelled. We charge on the same date each cycle.
- Cancelling. You can cancel at any time from Account. Your plan continues until the end of the cycle you have already paid for. Refunds are governed by our Refund Policy.
- Failed payments. If a payment fails we will retry and notify you. If it remains unpaid after [7] days we may suspend the account, which takes your Teacher Site offline until payment succeeds.
- Price changes. We may change prices with at least [30] days' notice by email. The new price applies from your next renewal, and you may cancel before then.
- Plan limits. Each plan has limits on students, staff logins and features. If you exceed them we will ask you to upgrade rather than cutting off access without warning.
4. Money from your students
- Student payments are processed by our payment gateway partner and settle directly into the bank account you register. Settlement times and charges are set by the gateway, not by us.
- You must complete the gateway's KYC before you can take payments. We cannot shorten or bypass that process.
- The agreement to teach a class is between you and your student. You decide the fee, the schedule, your own refund policy and what happens if a class is cancelled. You are responsible for delivering what your students paid for.
- Zenstu charges you a platform fee only if your plan states one. The gateway's transaction charges are separate and are deducted by the gateway.
- Receipts and invoices to students are issued in your name. You are responsible for your own GST registration, invoicing and tax filings.
- If a student disputes a payment or raises a chargeback, it is resolved between you, the student and the gateway. We will give you whatever records we hold to help.
5. Your content and your website
- Your Content remains yours. We claim no ownership of it.
- You grant us a licence to host, copy, adapt and display your Content for one purpose only: running the Service and publishing your Teacher Site. This licence ends when you delete the content or close your account, apart from backups that clear on our normal cycle.
- You confirm you have the right to use everything you upload. Do not upload photographs of students without their permission, images you do not have a licence for, or anyone else's logo or trademark.
- You are responsible for what your Teacher Site says. We generate the layout; the claims, prices and descriptions are yours.
- We may remove content that breaks these terms or the law, and will tell you why.
6. Certificates and claims
- Certificates, qualifications and training you display must be genuine, current and yours.
- Zenstu does not verify certificates. We display what you upload. You must not say or imply that Zenstu has checked, approved or endorsed your qualifications.
- Do not claim registration, certification or affiliation you do not hold.
- Reviews shown on your Teacher Site must come from real students through our review link. Do not write reviews yourself or ask anyone to post one they do not mean. Publishing fake reviews may also breach Indian consumer protection law.
- If we receive a credible complaint that a claim is false, we may hide it while we look into it.
7. Student data
You decide what student information to collect and why, which makes you the Data Fiduciary for it. We process it on your instructions. You must have a lawful basis for collecting it, must tell students what you do with it, and must obtain verifiable parental consent before storing details of anyone under 18. Full detail is in our Privacy Policy, which forms part of these terms.
8. Messaging and WhatsApp
- Zenstu sends messages on your behalf, including fee reminders, receipts and enquiry alerts. You are responsible for making sure your students have agreed to receive them.
- Do not use Zenstu to send bulk marketing, unrelated promotions or anything a recipient has asked you to stop sending.
- Messaging depends on third-party networks. Delivery is not guaranteed, and we are not liable if a message is delayed or does not arrive.
- Message volumes may be limited by your plan or by the messaging provider's own rules.
9. Acceptable use
You may not use Zenstu to:
- break any law, or help anyone else to;
- publish content that is obscene, hateful, defamatory, or that infringes someone's rights;
- impersonate another teacher, studio or brand;
- resell or white-label the Service without our written agreement;
- copy, decompile or reverse-engineer the Service, or scrape it in bulk;
- probe, load-test or interfere with our systems, or try to reach another account's data;
- upload malware, or use the Service to send spam or phishing messages;
- run a business unrelated to teaching classes, or take payments for something other than what your site describes.
10. Our intellectual property
The Zenstu software, name, logo, designs, templates and documentation belong to us. You get a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. Nothing in these terms transfers ownership of anything to you, and you may not use our name or logo except as these terms allow.
11. The Zenstu badge
Teacher Sites display a "Powered by Zenstu" or "Made with Zenstu" link. [CHOOSE ONE: it appears on all plans / it can be removed on the [PLAN NAME] plan and above]. You may not remove, hide or obscure it by editing code, CSS or otherwise, unless your plan allows it.
12. Custom domains
- Connecting your own domain is available on [PLAN NAME] and above.
- You buy and own the domain. Keeping the registration and DNS valid is your responsibility. If it lapses, your site goes offline and we cannot recover it for you.
- We issue and renew the security certificate (SSL) for connected domains at no extra charge.
- If you leave Zenstu, your domain stays yours. We simply stop serving your site on it.
13. Availability and support
- We aim to keep Zenstu available at all times, but we do not promise uninterrupted service. [STATE ANY UPTIME COMMITMENT, OR SAY THERE IS NONE]
- We may take the Service down for maintenance. Where we can plan it, we give notice and pick a quiet time.
- Support is available [DAYS AND HOURS] via [CHANNELS]. We aim to reply within [ONE WORKING DAY].
- We may change or retire features. If a change materially reduces what you are paying for, we will give at least [30] days' notice and you may cancel and claim a pro-rata refund for the unused period.
14. Health disclaimer
Zenstu is administrative software. We do not provide yoga instruction, medical advice or health guidance of any kind, and we do not check whether any teacher on the platform is competent or safe.
Teachers are solely responsible for the safety of their classes, for screening students appropriately, for adapting practice to conditions such as pregnancy and injury, and for holding any insurance they need. Students take classes at their own risk and should consult a doctor before starting. Zenstu is not liable for any injury or health consequence arising from a class.
15. Suspension and termination
- You may close your account at any time from Account.
- We may suspend or close your account if you break these terms, if payment fails and stays unpaid, if we are required to by law, or if your use puts our systems or other users at risk. Except in urgent cases we will give notice and a chance to fix the problem.
- After closure, your Teacher Site goes offline. Your data is kept for [90] days so you can export it or come back, then deleted as described in the Privacy Policy.
- Export. You can download your student list, payment records and website content in a standard format at any time while your account is active.
16. Disclaimers and limitation of liability
The Service is provided "as is". To the maximum extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free, that messages will always be delivered, or that search engines will rank your site in any particular way.
We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or loss of data caused by anything outside our reasonable control.
Our total liability to you for all claims in any twelve-month period is limited to the total fees you paid us in the [SIX] months before the claim arose.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by our negligence.
17. Indemnity
You agree to indemnify us against claims, damages and reasonable legal costs arising from: your Content; your classes and how you run them; your treatment of student data; false or misleading claims on your Teacher Site; and your breach of these terms or the law.
18. Changes to these terms
We may update these terms. For material changes we will email you and show a notice inside Zenstu at least [15] days before they take effect. Continuing to use Zenstu after that date means you accept the new terms. If you do not accept them, cancel before they take effect and we will refund any unused prepaid period.
19. Governing law and disputes
These terms are governed by the laws of India. The courts at [CITY] have exclusive jurisdiction.
Before going to court, both sides agree to try to settle the dispute in good faith. Write to [LEGAL EMAIL] setting out the problem, and we will respond within [30] days. [OPTIONAL: ADD AN ARBITRATION CLAUSE HERE IF YOUR LAWYER RECOMMENDS ONE]
